Terms of Service
These Terms of Service (“Terms”) govern the use of the SureSquare website, client portal, takeoff and estimating services, and the SureSquare CRM software (together, the “Services”). By accessing or using SureSquare, you agree to these Terms.
SureSquare offers two products. Part A adds terms for SureSquare CRM, Part B adds terms for the SureSquare takeoff service, and Part C applies to all Services.
Part A: SureSquare CRM
SureSquare CRM is a subscription software service for managing leads, bids, projects and crews. When you use SureSquare CRM, the following terms apply in addition to the rest of these Terms.
A1. Accounts
- You are responsible for your account credentials and for activity under your account.
- You must provide accurate account information and keep it up to date.
- You may invite team members, and you are responsible for their use of the Services.
A2. Your data
- You own the data you enter into SureSquare CRM, including contacts, customer information, project records and files (“Customer Data”).
- You grant SureSquare permission to host, process and display Customer Data only as needed to provide and support the Services.
- You are responsible for having the right to store the contact and customer information you enter, and for complying with laws that apply to how you use it.
- You can export your Customer Data while your account is active. After your account ends, we may delete Customer Data after a reasonable period.
A3. Acceptable use
You agree not to misuse the Services, including by attempting to access other customers’ data, interfering with the Services’ operation, reverse engineering the software, sending unsolicited bulk messages through the Services, or using the Services for unlawful purposes.
A4. Subscriptions and billing
SureSquare CRM is offered on a subscription basis. Plan details and prices are shown at sign-up. Unless stated otherwise, subscriptions renew automatically until cancelled, and fees already paid are non-refundable except where required by law. Early-access or beta features may be offered free or at a discount and may change before general release.
A5. Availability
We work to keep SureSquare CRM available and secure, but we do not guarantee uninterrupted or error-free operation. We may update, change or discontinue features, and will give reasonable notice of material changes that reduce core functionality.
A6. Connected services
You can connect third-party services to your SureSquare account, such as QuickBooks Online for accounting, Stripe for payments, Twilio for calls and texts, CompanyCam for photos, EagleView for measurements and ABC Supply for materials. When you connect one, you authorize SureSquare to send data to and receive data from that service on your behalf, limited to what the integration describes when you connect it. Your use of each connected service is also governed by that service’s own terms, which are between you and its provider.
You can disconnect a service at any time from Settings. Disconnecting stops new data from flowing; it does not remove data already in the other service.
Connected services are tools, not advice. Records that SureSquare posts to your accounting software are based on what you entered in SureSquare. You remain responsible for reviewing your books, your tax treatment and your filings, and for the accuracy of what you or your team enter. SureSquare is not responsible for the availability, accuracy or conduct of any third-party service, or for changes those providers make to their services or terms.
Part B: Takeoff service
B1. Services provided
SureSquare provides roofing takeoff and estimating services, including but not limited to:
- Roofing quantity takeoffs
- Material quantity summaries
- Estimate-related deliverables
All takeoff services are performed based on the plans, drawings, and specifications provided by the client.
B2. Nature of services (important)
All takeoffs and estimates provided by SureSquare are intended for estimating and bidding purposes only.
SureSquare does not:
- Provide construction supervision
- Verify site conditions
- Guarantee final installed quantities
- Replace professional judgment of the contractor
Final quantities, methods, and pricing remain the responsibility of the client.
B3. Accuracy and disclaimer
SureSquare makes commercially reasonable efforts to provide accurate and consistent takeoffs. However:
- Plan sets may contain errors, omissions, or inconsistencies
- Actual field conditions may vary
- Addenda or revised drawings may change quantities
SureSquare shall not be held liable for differences between estimated quantities and actual quantities used during construction.
B4. Client responsibilities
The client agrees to:
- Provide complete, legible plans and specifications
- Identify bid scope clearly
- Notify SureSquare of revisions or addenda
- Review all deliverables before use
SureSquare is not responsible for errors resulting from incomplete or unclear information provided by the client.
B5. Revisions
Each service package includes a limited number of revisions as described at the time of purchase or request.
Revisions do not include:
- Scope changes
- New drawings
- Major plan revisions
- Added buildings or roof areas
Additional revisions may be subject to additional fees.
B6. Turnaround times
Turnaround times are estimates based on project complexity and workload.
- Standard turnaround: 48-72 hours
- Rush requests are subject to availability and additional fees
SureSquare is not responsible for delays caused by incomplete information, late revisions, or force majeure events.
B7. Payment terms
- Pricing is provided per project unless otherwise agreed
- Payment is due as invoiced
- SureSquare reserves the right to withhold deliverables until payment is received
Custom pricing may apply to large or complex projects.
B8. Deliverables
All deliverables provided by SureSquare are licensed to the client for internal business use only.
Clients may not:
- Resell SureSquare deliverables
- Distribute deliverables as standalone products
- Remove SureSquare branding or disclaimers
Part C: Applies to both
C1. Confidentiality
SureSquare treats all client plans and documents as confidential.
- Files are used solely to perform requested Services
- SureSquare will not share client documents with third parties except as required to perform Services or by law
Clients are responsible for maintaining their own copies of all documents.
C2. Limitation of liability
To the fullest extent permitted by law:
SureSquare’s total liability for any claim related to Services shall not exceed the amount paid by the client for the specific project giving rise to the claim. For SureSquare CRM, where there is no specific project, SureSquare’s total liability shall not exceed the subscription fees you paid in the 12 months before the claim arose.
SureSquare shall not be liable for:
- Lost profits
- Consequential damages
- Bid losses
- Construction errors or omissions
C3. No warranty
Services are provided “as is” without warranties of any kind, express or implied, including but not limited to fitness for a particular purpose.
C4. Termination
SureSquare reserves the right to refuse or terminate Services at its discretion, including for misuse of the platform or non-payment.
C5. Governing law
These Terms shall be governed by and interpreted in accordance with the laws of the State of Tennessee, with venue in the state or federal courts located in Rutherford County, Tennessee, without regard to conflict of law principles.
C6. Updates to terms
SureSquare may update these Terms from time to time. Continued use of the Services constitutes acceptance of updated Terms.
